Terms of Service

Effective Date: January 1, 2025

These Terms of Service ("Terms") govern your use of the services provided by PathOne Creative LLC ("PathOne Creative," "we," "us," or "our"), located at 460 Sue Peaks Lp, Dripping Springs, Texas 78620. By engaging our services or using our website, you agree to be bound by these Terms.

1. Services

PathOne Creative provides digital marketing and business growth services including but not limited to website design, search engine optimization (SEO), Google Ads management, CRM automation, AI marketing systems, email and SMS automation, social media marketing, and lead generation systems.

Specific services, deliverables, timelines, and fees will be outlined in a separate Service Agreement or Statement of Work ("SOW") provided to each client.

2. Payment Terms

Payment terms are as specified in your Service Agreement. Unless otherwise agreed in writing:

• Monthly retainer services are billed in advance at the beginning of each billing cycle.
• Project-based services may require a deposit prior to commencement of work.
• Invoices are due within 15 days of the invoice date.
• Late payments may be subject to a late fee of 1.5% per month on the outstanding balance.
• PathOne Creative reserves the right to pause or terminate services for accounts more than 30 days past due.

3. Client Responsibilities

To enable us to deliver services effectively, you agree to:

• Provide timely access to accounts, credentials, and materials required for service delivery.
• Review and provide feedback on deliverables within agreed timeframes.
• Ensure all information provided to us is accurate and complete.
• Comply with all applicable laws in connection with your business and our services.

4. Intellectual Property

Upon full payment of all fees, you will own all custom deliverables created specifically for you (e.g., website design, ad copy, custom content). PathOne Creative retains ownership of all pre-existing tools, frameworks, methodologies, and proprietary systems used in delivering services.

PathOne Creative reserves the right to display work created for clients in our portfolio unless otherwise agreed in writing.

5. Results Disclaimer

Digital marketing results vary based on numerous factors including competition, market conditions, budget, and implementation quality. PathOne Creative does not guarantee specific rankings, lead volumes, or revenue outcomes. We commit to deploying best-practice strategies and continuous optimization on your behalf.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination of the service relationship.

7. Termination

Either party may terminate monthly services with 30 days written notice. Project-based agreements may be terminated per the terms of the applicable SOW. Upon termination, all outstanding fees for services rendered become immediately due and payable.

8. Limitation of Liability

To the maximum extent permitted by applicable law, PathOne Creative's total liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you in the three months preceding the claim. In no event shall PathOne Creative be liable for indirect, incidental, special, or consequential damages.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Hays County, Texas.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes. Continued use of our services following notice constitutes acceptance of the updated Terms.
